About Role/Job Purpose:

The Legal Counsel is an experienced, qualified legal professional in the Middle East and/or North Africa with substantial all-round legal skills and knowledge and more generally the legal environment of the Company and its businesses. S/he handles matters individually and interacts with the Company’s business and functional managers. The Legal Counsel plays an essential role to safeguard the strategic objectives of the assigned business and to ensure a limited (legal) risk exposure by providing responsive and adequate legal advice.

Job Responsibilities:

  • Implement the legal strategy in the region (Middle East and North Africa) and connect with regional business leaders to define legal priorities in the region
  • Manage and provide legal services to the AkzoNobel businesses in the Middle East and North Africa, including drafting and negotiation of a wide range of agreements (co-operation agreements, sales agreements, distribution & supply agreements, finance & loan agreements, services agreements, consultancy agreements)
  • Providing or coordinating legal advice on Competition Law, Employment Law, M&A, Administrative Law,
  • Implementing and driving integrity and compliance protocols and culture in the region
  • Handling claims, disputes and litigation matters
  • Managing and provide corporate housekeeping services and corporate governance of relevant legal entities in the region, including:
  • Prepare and submit administrative documents to local authorities, including statutory documents, powers of attorney, notarisations etc.
  • Renew, update and maintain the trade licenses and other government certificates of the relevant legal entities and to ensure that the documents are up to date.
  • Prepare papers for and attend Board meetings, AGMs and EGMs. Maintain relationship with shareholders and board members.

Requirements :

  1.  Qualified lawyer with a 5 to 8 years of relevant work experience in the North Africa or Middle East region at a law firm of international reputation and/or at a legal department of a Fortune 500 company.
  2. Excellent general legal knowledge with a specific experience in commercial and contract law, mergers and acquisitions and joint ventures.
  3. Solid dispute resolution experience and a solid command of competition law principles.
  4. Fluent command in Arabic, English and preferably French and basic skills in further languages;
  5. Top-level analytical, counseling, negotiating, communication and interpersonal skills with sound legal and ethical judgment.
  6. Advanced in contracting and strategic writing.
  7. Ability to work with a multidisciplinary team of business personnel, internal and external legal consultants and to coordinate negotiations with government agencies and private parties.
  8. Have ability to identify legal and compliance risks, to define mitigating actions, to plans and to execute actions.
  9. Ability to generate constructive actions to improve process effectiveness.
  10. Intermediate level of project management skills.
